1. Agreement to Terms
These Terms and Conditions ("Terms") govern your use of Chatboxx's
WhatsApp Business API platform and related services operated by
Datagen Internet Services Pvt. Ltd., registered in India ("Chatboxx",
"we", "us").
By accessing or using our services, you agree to be bound by these
Terms. If you disagree with any part, you may not access our services.
These Terms apply to all users including businesses and developers.
2. Services Description
Chatboxx provides the following through the WhatsApp Business API:

WhatsApp Business API access and integration onboarding support
- Bulk WhatsApp messaging and campaign management tools
- Chatbot builder and automated conversation flow platform
- Team shared inbox and agent management system
- OTP and two-factor authentication via WhatsApp
- Delivery analytics, reporting, and message tracking dashboard
- REST API access for custom integrations and automation
3. Eligibility and Account Registration
To use our services, you must:

Be a legally registered business entity or individual above 18 years
of age

Provide accurate, complete, and current business information during
registration

Have a valid WhatsApp-eligible phone number for your business
account
-
Independently agree to and comply with Meta's WhatsApp Business
Policy
-
Not be subject to any applicable international sanctions or export
controls
You are responsible for maintaining the confidentiality of your
account credentials and for all activities that occur under your
account.
4. Acceptable Use Policy
When using Chatboxx, you agree NOT to:

Send spam, unsolicited bulk messages, or messages without proper
recipient consent

Use the platform to distribute fraudulent, misleading, or deceptive
content
-
Violate WhatsApp's Business Policy, Commerce Policy, or Community
Standards
-
Send illegal, harmful, threatening, abusive, or defamatory content
- Promote illegal products, services, or activities of any kind
-
Attempt to circumvent WhatsApp's spam detection or messaging rate
limits
-
Resell or sublicense our API access without prior written permission
from Chatboxx

Collect personal data without a proper legal basis under applicable
data protection law
5. Payments and Billing
-
All prices are listed in Indian Rupees (INR) plus applicable GST at
18%
-
Prepaid plans require advance payment; usage is deducted from your
wallet balance
-
WhatsApp conversation charges follow Meta's per-conversation pricing
model
-
Charges for delivered messages are non-refundable once processed
-
We reserve the right to revise pricing with 30 days prior written
notice to users
-
Failed or declined payments may result in temporary service
suspension
-
GST invoices are issued monthly and available in your account
dashboard
6. Refund Policy
-
Unused prepaid wallet balance is refundable within 30 days of the
last top-up date
-
All refund requests must be submitted in writing to
info@chatboxx.in

A processing fee of 5% or βΉ500 (whichever is higher) may be deducted
from the refund
-
Charges for messages already sent or delivered are strictly
non-refundable
-
No refund will be issued if your account was terminated due to a
policy violation
-
Approved refunds are processed within 7β10 business days to the
original payment source
7. WhatsApp Platform Compliance
-
You must independently agree to and comply with Meta's WhatsApp
Business Policy
-
Meta may suspend or terminate WhatsApp API access at their sole
discretion
-
Message template approvals are subject to Meta's independent review
and approval process
-
Chatboxx acts as a Business Solution Provider (BSP) and is not
liable for Meta's decisions
-
Changes to WhatsApp's platform pricing or features may affect our
services without prior notice
8. Intellectual Property
All intellectual property in our platform β including software,
designs, logos, and documentation β belongs to Chatboxx / Datagen
Internet Services Pvt. Ltd. You retain ownership of content you create
and data you upload to our platform. By using our services, you grant
us a limited, non-exclusive licence to process your content solely to
provide the agreed services.
9. Limitation of Liability

Our total liability shall not exceed amounts paid by you in the 3
months preceding the claim

We are not liable for indirect, incidental, special, or
consequential damages of any kind
-
We are not responsible for delays caused by Meta's platform or any
third-party services
-
We are not liable for message delivery failures due to network or
WhatsApp system issues
-
You are solely responsible for compliance with all laws applicable
to your use of our services
10. Termination
-
Either party may terminate by giving 30 days written notice via
email to the other party
-
Either party may terminate immediately upon material breach of these
Terms
-
We may suspend your account immediately for policy violations
without prior notice
-
Upon termination, your access to the platform and all its features
will be revoked
-
Data export requests must be made before the account closure
effective date
11. Governing Law and Disputes
These Terms are governed by the laws of India. Any dispute shall first
be attempted to be resolved through mutual discussion within 30 days.
If unresolved within this period, disputes shall be subject to the
exclusive jurisdiction of the courts in Delhi, India.
